Good Corporate Governance (GCG) and Anti Bribery Management System as the Foundation of KFTD Corruption Prevention Measures

A good anti-corruption policy needs a solid foundation in order to be effective. This foundation will help create a framework for the policy itself and how to properly enforce it. In PT Kimia Farma Trading & Distribution (KFTD), as part of Kimia Farma Group, this foundation came in the form of Good Corporate Governance (GCG) key principles and their own Anti-Bribery Management System.

Good Corporate Governance (GCG)

To put it simply, GCG is a management system that mirrors the company’s core values. Implementing GCG will help stimulate business growth, accountability, and shareholder interests without neglecting stakeholders. An adequate GCG practice reflects the company’s willingness to conform to the law.

GCG principles will form the ultimate anti-corruption & anti-bribery instrument. According to the KFTD code of corporate governance (COCG), five GCG key principles were integrated into the company:

  1. Transparency
  2. Accountability
  3. Responsibility
  4. Independence
  5. Equality and Fairness

Anti-Bribery Management System

The Anti-Bribery Management System (Sistem Manajemen Anti Penyuapan, further referred to as SMAP) was formulated to reflect the company’s GCG practice. Implementing SMAP itself is also KFTD’s effort to conform to ISO 37001:2016 standards. In short, SMAP was created as a framework for KFTD executives to manage the company.

Seven goals determine the successful implementation of SMAP:

  1. The results of the SMAP Awareness Survey indicate that employees’ commitment and awareness levels regarding SMAP are at a minimum of 70%.
  2. Bribery risk registry update is targeted at 75% minimum, indicated by the registry update log.
  3. Due diligence reports indicate that The anti-bribery feasibility level reaches 100%.
  4. ISO 37001:2016 certification for SMAP with a target score of 100%, indicated by SMAP implementations.
  5. Zero tolerance and zero bribery incidents committed by KFTD employees.
  6. 100% follow-up rate for reports regarding bribery allegations within KFTD.
  7. Unqualified opinion for financial reports audited by independent external auditors.
